Governance reality tests whether policies are enforceable in practice. Many AI policies exist only on paper. Boards should focus on what can actually be monitored, audited, and enforced.

Reputational exposure considers how AI use affects trust among key stakeholders. Boards must consider not only what is legal or efficient, but what is explainable and defensible.

This framework moves AI oversight from abstract concern to concrete governance.

Why Boards Need Explicit Escalation Triggers

Governance failures most often occur at the point where escalation should happen but does not. AI amplifies this risk because it can influence outcomes quietly and quickly.

Boards across industries share a common sentiment: AI matters, but oversight feels unclear. This unease is rational. AI has shifted how decisions are made without a corresponding shift in governance structures.

Boards do not need more dashboards or technical detail. They need clarity. A shared vocabulary. Defined boundaries. Clear escalation rules. Confidence that oversight responsibilities are being met.
